These terms cover smarterportals.com, the website you are reading. They do not cover the use of a Smarter Portals portal, which is always a separate written agreement.

About these terms
These terms apply to smarterportals.com and everything published on it. By using the site, you accept them. If you do not accept them, please do not use the site.
Smarter Portals is an Australian business. In these terms, “we”, “us” and “our” mean Smarter Portals, and “you” means anyone using this website.
02
This site is information, not an offer
This website describes what Smarter Portals builds and what our portals do. It is marketing material. Its job is to help you decide whether it is worth talking to us.
Nothing on this site is an offer you can accept to create a contract, and nothing on it creates any agreement between us about a portal or any other service. Reading a page, following a link or sending an enquiry does not reserve anything and does not commit either of us to anything. An enquiry starts a conversation. That is all it does.
Descriptions of features here are general. What a portal actually does for your organisation depends on how it is configured for you, and that is settled in writing, not on a web page.
03
Using a portal is a separate agreement
If your organisation decides to use a Smarter Portals portal, that will be under a separate written agreement between us and your organisation. That agreement, not this page, sets out the service, what each side is responsible for, security and data handling, support, fees and term.
Where these terms and that agreement differ, that agreement governs anything to do with the portal. These terms only ever govern this website.
04
Screenshots and example data
The portal screenshots on this site were captured from a demonstration environment that we populate ourselves, with the names and branding in them set by us for illustration. Everything visible in them is example data.
The organisations shown in those screenshots, including their names, logos, colours and branding, are invented for illustration. They are not our customers, they are not real organisations we work with, and no resemblance to any actual organisation is intended or should be inferred.
The people, products, sizes, prices, allowances, budgets, orders, approvals and figures in the screenshots are invented in the same way. Please do not read any of them as a real record, a real price, or a statement of what a portal will cost or do for you.
05
Intellectual property
The content of this site is ours, or is used with permission. That includes the text, the page designs, the layout, the illustrations, the portal screenshots, the icons and the code behind the site.
The Smarter Portals name, the Smarter Portals mark and the look and feel of this site are our branding. You may not use them as your own, or in any way that suggests we endorse you or are connected with you.
You are welcome to read the site, print a page, and share a link to it for your own or your organisation’s internal purposes. Beyond that, please do not copy, republish, adapt, distribute or sell any part of it without our written permission.
Any software behind our portals is licensed under the separate agreement described above. It is never licensed by using this website.
06
Acceptable use
Use this site lawfully and reasonably. In particular, please do not:
- try to reach any part of the site, its hosting or the systems behind it that is not published to you
- interfere with how the site runs, including by flooding the enquiry form, sending it automated submissions or trying to get around the limits on it
- use the enquiry form to send anything unlawful, misleading, abusive, or anything you do not have the right to send us
- use the enquiry form or any address published here to send us advertising or marketing material
- scrape, mirror or republish the site's content as your own
- misrepresent who you are or which organisation you are enquiring for
We may block access to the site where we need to protect it or the people who use it. The enquiry form applies a rate limit. It counts by internet address, so if several people at your organisation send enquiries within a few minutes of each other they may share one. If you see a message asking you to slow down, email [email protected] instead and nothing is lost.
07
Accuracy and availability
We take care to keep this site accurate and current, but it remains a marketing website. Content can go out of date, a feature can change, and a page can contain a mistake. The site is provided as it is.
We do not promise the site will always be available or free of interruption. It can be taken down for maintenance, and the services that host and deliver it can have outages of their own.
If you are going to rely on something here for a decision, check it with us first. Email [email protected] and we will confirm it in writing.
08
Links to other websites
If this site links to a website we do not run, the link is there for convenience. We do not control that site, we are not responsible for its content, its accuracy or how it handles your information, and a link is not an endorsement. Once you follow one, that site’s own terms and privacy policy apply to you.
09
Liability
Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the Australian Consumer Law or any other law, where that guarantee, right or remedy cannot lawfully be excluded, restricted or modified. If any part of these terms would do that, it does not apply to that extent, and the rest of these terms continue to apply.
Where the Australian Consumer Law permits us to limit our liability rather than exclude it, our liability for failing to comply with a consumer guarantee is limited, at our option, to supplying the relevant services again or paying the cost of having them supplied again.
Subject to the two paragraphs above, and to the extent the law allows, we are not liable for any loss or damage arising out of your use of this website or your reliance on anything published on it, including indirect or consequential loss, loss of profit, loss of revenue, loss of data, or loss of an opportunity, however that loss arises.
This clause is about this website. Liability in relation to a portal is dealt with in the separate written agreement for that portal.
10
Privacy
How we handle the information collected through this site, including everything sent through the enquiry form, is set out in our privacy policy. It forms part of these terms. Nothing in clause 9 limits anything we owe you in relation to your personal information.
11
Governing law
These terms are governed by the law of the Australian State or Territory in which Smarter Portals has its principal place of business, and by the law of the Commonwealth of Australia as it applies there. You and we each submit to the non-exclusive jurisdiction of the courts of that State or Territory, of the federal courts of Australia, and of the courts that hear appeals from them.
If a court finds any part of these terms unenforceable, that part is severed and the rest of the terms continue to apply.
12
Changes to these terms
We may update these terms. The current version is always the one on this page, and the date at the top tells you when it last changed. There is no archive of earlier versions, so if this matters to your procurement process, check the date here.
Continuing to use the site after a change means you accept the updated terms. If you do not accept them, please stop using the site.
